Terms and Conditions

These Terms describe your rights and responsibilities when using Verdant Volunteers. Please read carefully before creating a Placement, hosting volunteers, or applying for an opportunity.

1. Introduction and acceptance

These Terms and Conditions form a legally binding agreement between you and Verdant Volunteers. Verdant Volunteers is referred to as Verdant, we, our, or us. You are referred to as user, you, or your. By accessing, browsing, registering, applying for a placement, hosting volunteers, or otherwise using any Verdant service, you agree to these Terms.

If you do not agree, do not use the platform. You also agree to our Privacy Policy and any additional guidelines, safety rules, or program terms displayed on the platform, which are incorporated into these Terms by reference.

We may update these Terms to reflect legal, safety, or product changes. We will post the updated version with a revised date. Continued use after the update means you accept the revised Terms.

2. Definitions

  • Account means a registered profile used to access Verdant Volunteers services.
  • Platform means Verdant Volunteers websites, apps, APIs, tools, dashboards, and related services.
  • Placement means a volunteer opportunity, program, or project listed on Verdant Volunteers.
  • Host means the person, community, or organization that creates or manages a Placement.
  • Volunteer means any person who registers, applies for, or participates in a Placement.
  • Community project means any initiative for which Hosts invite volunteers through the Platform.
  • Content means all text, images, video, audio, data, comments, reviews, updates, and other materials posted on the Platform.
  • Services means all features Verdant offers, including volunteer matching tools, messaging, trust and safety systems, community spaces, help center, and related products.

3. Eligibility and account rules

To use Verdant, you must be at least 18 years old or the age of majority in your jurisdiction, and have legal capacity to enter into a binding contract. Hosts may set higher age thresholds for specific Placements.

You agree to provide accurate, current information during registration and to keep your account information updated. You are responsible for all activity on your account and for maintaining the security of your credentials.

You may not create multiple accounts to evade enforcement, mislead other users, or manipulate platform programs. We may require identity verification before allowing certain actions, including hosting volunteers, applying to sensitive Placements, or accessing advanced features.

4. Platform purpose and our role

Verdant provides a technology platform that connects Hosts and Volunteers. Hosts can publish Placements and Volunteers can discover, apply, and communicate about volunteer opportunities. Verdant does not employ Volunteers and does not act as an agent for Hosts or Volunteers unless explicitly stated in a specific program.

We do not independently verify every statement in every Placement. Hosts are solely responsible for the accuracy of Placement content, for providing safe conditions, and for honoring the expectations they communicate on the Platform.

Verdant is not a party to separate agreements between Hosts and Volunteers regarding travel, visas, insurance, stipends, or accommodation. Those arrangements are between the parties involved, unless Verdant clearly states that a particular program is managed by us.

5. Volunteer placements and host duties

When you create a Placement as a Host, you certify that all information is truthful, complete, and not misleading. You must describe the purpose of the Placement clearly, including expectations, hours, living conditions, required skills, and any costs that Volunteers should anticipate.

You agree to treat Volunteers with dignity, follow applicable laws, and provide a safe and respectful environment. If you are partnering with another organization or community, you must have authority to list the Placement and must be able to prove that authority if requested.

Volunteers are responsible for assessing whether a Placement is suitable for them, including reviewing safety information, local regulations, and health or travel advisories. Verdant encourages Volunteers to obtain appropriate insurance and seek professional advice where needed.

Hosts are responsible for complying with all laws that apply to them and their Placements, including labor rules, immigration requirements, child protection laws, and any required registrations or permits.

Verdant may feature, limit visibility, pause, or remove Placements to protect Volunteers or uphold platform trust. We may request documentation at any time to confirm legitimacy and safety.

6. Bookings, platform fees, and cancellations

Some Placements or programs may involve fees, deposits, or cost sharing such as accommodation contributions, administrative fees, or travel coordination costs. These are not donations. They are payments for services or expenses related to participation.

Payment processing is handled by reputable third party providers. You authorize Verdant and its payment partners to process your payment and share required information to complete the transaction.

Verdant may charge platform fees, processing fees, currency conversion fees, or other charges where applicable. Any fees will be disclosed before you complete a transaction.

Unless a specific program or Placement clearly states otherwise, payments are generally non refundable. Verdant may facilitate refunds at its discretion when required by law, when fraud is suspected, when a Placement clearly violates these Terms, or when user protection policies apply.

Hosts may define their own cancellation rules, provided those rules are transparent on the Placement and comply with applicable law. Verdant is not responsible for separate promises made outside the Platform.

7. Prohibited conduct and placements

You may not use Verdant to engage in unlawful, deceptive, or harmful activity. This includes:

  • Misrepresenting a Placement, identity, relationship to a community or project, or conditions that Volunteers will face
  • Listing Placements that exploit Volunteers or that disguise paid work as unpaid volunteering in violation of labor laws
  • Organizing activities connected to violence, hate groups, terrorism, or criminal conduct
  • Selling or promoting regulated goods or services through a Placement
  • Posting malware, harvesting data, or interfering with platform security
  • Harassing, exploiting, or endangering others, including children and other vulnerable persons
  • Using the platform to launder money or evade sanctions

We may remove content or Placements that violate these Terms, even if not listed here, when necessary to protect the community.

8. Verification, trust safeguards, and compliance

Verdant uses verification and monitoring tools to protect Volunteers, Hosts, and communities. We may require identity checks, proof of address, organizational documents, child safeguarding policies, or additional review for certain Hosts, Placements, or regions.

Verdant may pause bookings, limit Placement visibility, or restrict access to funds or features while a safety or compliance review is in progress. If a Placement is found to be unsafe, misleading, or non compliant, we may remove it and take additional action as required by law.

You agree to cooperate with compliance requests promptly. Failure to do so may result in enforcement actions, including suspension or permanent removal of your account.

9. User content and intellectual property

You retain ownership of the Content you post. By posting Content on Verdant, you grant Verdant a worldwide, royalty free, sublicensable license to host, store, reproduce, display, translate, distribute, and otherwise use that Content for operating, promoting, and improving the Platform.

You promise that you have all rights needed to post the Content and that it does not infringe intellectual property, privacy, publicity, or other rights of any person or entity.

Verdant and its trademarks, logos, software, and design are owned by Verdant or its licensors. You may not use them without written permission except as required to share a Placement or link to your profile.

10. Third party services

Verdant may integrate or link to third party services such as payment processors, identity verification providers, analytics tools, mapping or messaging services, or social platforms. Those services are governed by their own terms and privacy notices.

Verdant is not responsible for third party services, outages, or actions. Use of third party services is at your own risk.

11. Suspension and termination

Verdant may suspend, restrict, or terminate your account or a Placement at any time if we believe you violated these Terms, posed a risk to Volunteers or Hosts, engaged in fraud, or harmed the platform’s integrity.

You may request account closure at any time. Certain information may be retained as required for legal obligations, safety investigations, or dispute resolution.

12. Disclaimers

Verdant provides the Platform on an as is and as available basis. We do not warrant that the Platform will be uninterrupted, error free, or free of harmful components.

We do not guarantee that you will be accepted into a Placement, that a Placement will take place as originally scheduled, or that it will meet your expectations. Hosts and Volunteers should use their own judgment when entering into arrangements.

Nothing in these Terms limits rights that cannot be limited under applicable consumer protection laws.

13. Limitation of liability

To the maximum extent permitted by law, Verdant will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, goodwill, data, or other intangible losses arising from your use of the Platform.

To the maximum extent permitted by law, Verdant’s total liability for any claim related to the Platform will not exceed the amount of fees Verdant received from you in the twelve months before the claim arose, or one hundred United States dollars, whichever is greater.

Some jurisdictions do not allow certain limitations. In those places, liability is limited only to the fullest extent the law allows.

14. Indemnity

You agree to indemnify, defend, and hold harmless Verdant and its affiliates, officers, employees, and partners from any claims, damages, losses, liabilities, and expenses that arise from your Content, your Placement, your use of the Platform, or your violation of these Terms or law.

15. Dispute resolution and governing law

For users outside the EU, UK, and Switzerland, these Terms are governed by the laws of the State of California, excluding conflict of law rules. You and Verdant agree that disputes will be resolved through binding arbitration on an individual basis, and you waive any right to participate in a class action, collective action, or representative proceeding. Arbitration will be conducted in English.

For users in the EU, UK, or Switzerland, you benefit from mandatory local consumer protections. Disputes may be brought in your local courts where required by law, and nothing here removes rights you have under those laws.

Before filing a claim, you agree to contact us and attempt to resolve the dispute informally.

16. Miscellaneous terms

  • Entire agreement These Terms and all referenced policies form the entire agreement between you and Verdant.
  • Severability If any provision is found unenforceable, the remaining provisions remain in effect.
  • No waiver Failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment You may not assign your rights under these Terms without our consent. Verdant may assign these Terms in connection with a corporate transaction.
  • Force majeure Verdant is not responsible for delays or failures caused by events beyond reasonable control such as disasters, large scale outages, or legal restrictions.
  • Notices We may provide notices through the Platform, email, or other reasonable means.
